This agreement is between GTE and (Employee) (from this point on, referred to as "Employee").

CONDITIONS

Many GTE employees commute long distances in order to reach their assigned work locations. A great number of these same employees could perform all or a significant portion of their job duties from a remote work location, because of the increased availability and use of personal computers and other sophisticated electronic telecommunications equipment.

Telecommuting provides employees with the opportunity to perform their job duties for GTE at a remote work location that is closer to their homes, reducing the amount of time spent commuting to and from work.

GTE and the Employee want to participate in a telecommuting program to take advantage of the potential benefits that each may derive from this type of arrangement.

Both parties, intending to be legally bound, agree to the following conditions:

SCOPE OF AGREEMENT

The terms "remote work location" or "remote workplace" shall mean Employee's residence or any remote office location approved by Employee's GTE department. The term "workplace" shall mean Employee's usual and customary GTE work address.

The Employee agrees to participate in a GTE telecommuting program. Telecommuting may be ended at any time by either GTE or the Employee, with or without cause, as explained in Section 3 of this Agreement.

In addition to duties and obligations assumed by the Employee under the terms of this Agreement, the standard ties, obligations, responsibilities, and conditions of his/her employment with GTE remain unchanged. The Employee's participation in employee salary, pension, benefits and GTE-sponsored insurance plans will remain unchanged, except as explained in Section 4 of this Agreement.

TERMS OF AGREEMENT

This Agreement becomes effective on the date first written, and shall remain effective as long as the Employee telecommutes, unless ended earlier by either party participating in this Agreement.

The Employee agrees to comply with all GTE rules, policies, practices, instructions and terms of this Agreement, and understands that any breach of this agreement may cause an end to his/her telecommuting, and may cause other disciplinary action, up to and including termination of employment with GTE.

TERMINATION OF AGREEMENT

The employee understands and agrees that telecommuting is available only to employees who are considered to be eligible by GTE. Telecommuting is not a GTE employee "right." Either GTE or the Employee may end the Employee's participation as a telecommuter, with or without cause, when proper notice is given. GTE is not responsible for costs, damages or losses incurred by the Employee resulting from termination of this Agreement. Additionally, this Agreement is not a contract of employment.

COMPENSATION

The Employee agrees that compensation for hours worked, including overtime, (non-exempt employees only) and employee's vacation schedule will be governed by rules agreed upon by the Employee and GTE.

If GTE asks that the Employee's home be used as the remote work location, any injuries the Employee suffers while traveling to or from the remote work location to his/her workplace or any other GTE location, or during their scope of employment for GTE at the remote work location, are compensable under the appropriate Worker's Compensation laws.

TELECOMMUTING AND GTE EQUIPMENT

The Employee understands that only person(s) authorized in writing by GTE may use the equipment, software, data, supplies and furniture (from this point on, referred to as "equipment") provided by GTE for use at the remote work location, and that he/she will only use this equipment to perform work for GTE.

GTE may choose to purchase equipment for use by the Employee while telecommuting or permit use of Employee-owned equipment. Deciding on the type, nature, function and /or quality of electronic hardware -- including, but not limited to, computers, video display equipment, computer software, data and telecommunications equipment (for example, phone lines) - rests entirely with GTE. The decision to remove or discontinue use of this equipment, data and/or software shall rest entirely with GTE.

Equipment purchased by GTE for use by the Employee shall remain the property of GTE. GTE does not assume any liability for loss, damage, or wear and tear on Employee-owned equipment used while performing services as described in this Agreement.
The Employee agrees to designate a work space at his/her remote work location for placement and installation of equipment for use as described in this Agreement. The Employee will safely maintain this work space, and keep it free from hazards and other dangers to him-/herself and the equipment. GTE has the right to approve the site chosen for the equipment at the Employee's remote work location.

The Employee understands that GTE may make on-site visits to the remote work location to ensure that the site is safe and free from hazards, and to maintain, repair, inspect, or take back GTE-owned equipment. If this Agreement is terminated, the Employee will allow GTE to have access to the remote workplace during regular business hours for the purpose of retrieving GTE-owned equipment. If legal action becomes necessary to regain possession of GTE-owned equipment, the Employee will pay all costs incurred by GTE, including any attorneys' fees, associated with recovering GTE property.

If the equipment fails or malfunctions in any significant way, the Employee agrees to immediately notify GTE so that the company may repair or replace this equipment. If there is a delay in repair or replacement of equipment, or other circumstances occur which make it impossible for the Employee to telecommute for a period of time, GTE reserves the right to assign the Employee to do other work at the remote work location, or report to the Employee's central office workplace or another work location. while equipment is being repaired or replaced.

The Employee agrees to reimburse GTE for any loss or damage to the company's equipment installed at the Employee's residence when it is used as the remote work location (normal wear and tear would be an exception). The Employee agrees that GTE may deduct from their paycheck an amount which will reimburse GTE for any loss or damage of this kind.

GTE agrees to reimburse the Employee for any loss or damage to Employee equipment, such as inside wiring or electrical wiring, caused by faulty GTE equipment.
GTE may provide the remote work location with furniture, lighting, environmental protection and household safety equipment required by using GTE-owned equipment. Items needed will be determined by GTE's supply department based on a material transfer form. These items will be appropriate for their intended use, and will be used and maintained safely by the Employee.

LIABILITIES FOR INJURIES

The Employee agrees to defend, indemnify and hold harmless GTE, its officers, agents, employees, contractors and affiliates from and against any and all claims, demands or liability (including any related losses, costs, expenses and attorneys' fees) resulting from or arising out of an injury to or death of third persons. This includes, but is not limited to, members of the Employee's family, or damage to property, caused directly or indirectly by the Employee's willful misconduct, negligence or omissions while performing their duties and obligations covered by this Agreement. Exceptions would occur where such claims, demands or liability arise from negligence on the part of GTE.

The Employee will maintain liability insurance in an amount agreed to by GTE to cover any claims or liability of this kind. The Employee will also have personal liability insurance during the course of his/her employment for GTE, and while performing services for GTE according to this Agreement. The amount of such insurance shall be determined by GTE.

When it is requested, the Employee will provide GTE with proof of this liability insurance. Also, proof of this type of insurance will be presented to GTE before the Employee starts telecommuting. GTE may at any later time require the Employee to furnish the company proof that the insurance policy in the amount agreed upon is still effective. If the Employee does not comply with the provisions of this paragraph, GTE has the right to terminate this Agreement immediately.

I HAVE READ THIS AGREEMENT, UNDERSTAND ITS PROVISIONS AND, BY SIGNING BELOW, AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. I ALSO ACKNOWLEDGE THAT I WAS GIVEN THE OPPORTUNITY TO HAVE THIS AGREEMENT REVIEWED BY MY OWN LEGAL COUNSEL PRIOR TO ENTERING INTO IT.
